Terms of Service

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between Sarvajeyam Solutions Private Limited. ("Company," "we," "us," "our") and the customer ("Customer," "you," "your") governing your access to and use of our CRM/ERP platform, website, mobile applications, APIs, and related services (collectively, the "Services"). By registering for, accessing, or using the Services, you agree to be bound by these Terms.


1. Account Registration and Eligibility

You must provide accurate, current, and complete information during account creation. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account.

You represent that you are legally authorized to bind the entity you represent and that your use of the Services will comply with all applicable laws and regulations.


2. License Grant & Acceptable Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business operations.

You may not:

  • Use the Services for any illegal, harmful, or fraudulent activity.
  • Interfere with or disable any security or operational functions of the Services.
  • Use the Services to distribute malware or malicious code.
  • Circumvent usage limits or access controls.

You are solely responsible for all data you enter into the platform (“Customer Data”).


3. Customer Responsibilities and Warranties

You represent, warrant, and covenant that:

  • Customer Data Rights: You own or have obtained all necessary rights, licenses, and permissions to submit Customer Data to the Services.
  • End-User Consent & DPDP Compliance: You have obtained all required consents from End-Users for collection, processing, transmission, storage, and processing within India, in compliance with the **DPDP Act, 2023**. You must maintain full, auditable records of all such End-User consents and must promptly provide us with proof of such consent upon our request, particularly in the event of a regulatory inquiry or a WhatsApp/Meta ban.
  • Compliance with Sector Regulations: You will comply with DPDP Act, 2023, TRAI DND Regulations, RBI and microfinance guidelines (where applicable), and WhatsApp/Meta Business and Commerce Policies.
  • Anti-Spam Compliance: You will not send unsolicited or bulk messages without valid opt-in, use purchased, rented, or scraped contact lists, or engage in fraudulent or abusive messaging. You must maintain auditable consent records and promptly honor all opt-out requests.

4. Our Responsibilities

We will:

  • Provide the Services with reasonable care and skill.
  • Maintain appropriate technical and organizational security measures as described in our Privacy Policy.
  • Provide technical support during standard business hours.

We may modify, update, or discontinue any feature of the Services with prior notice where feasible, typically via email to the registered account administrator or a prominent platform notification. We do not monitor message content except: when required for debugging with your consent; when required by law or a competent authority; or to prevent abuse, fraud, or security breaches (typically limited to metadata-level monitoring).


5. Fees, Billing, and Payment

  • You must pay all applicable fees as per the agreed billing cycle.
  • Fees are non-refundable unless expressly stated otherwise.
  • Late payments may result in service suspension.
  • We will provide at least 30 days’ notice for any pricing revisions.

6. Third-Party Services and Integrations

Your use of integrated third-party services (e.g., SMS gateways, WhatsApp Business API) is governed by their respective terms and policies. Any violation of these third-party terms constitutes a **material breach** of this Agreement. We are not liable for disruptions or suspensions caused by these third-party providers.


7. Prohibited Activities

  • Resell, sublicense, or commercially exploit the Services.
  • Attempt to reverse engineer, decompile, or extract the source code of the Services.
  • Upload or transmit harmful, fraudulent, or unlawful content.
  • Interfere with the system's operation or security.
  • Exceed usage limits or abuse messaging channels.
  • Violate any messaging regulations (TRAI DND, WhatsApp rules, IT Act, etc.).

8. Data Ownership and Processing

You retain all ownership rights to your **Customer Data**. You grant us a limited, worldwide, royalty-free license to host, process, and display Customer Data as necessary to provide, improve, and secure the Services. For End-User personal data, we act as a **Data Processor** and will process such data strictly on your documented instructions, as detailed in our Privacy Policy. You acknowledge that we may engage vetted sub-processors to assist in providing the Services; a current list of sub-processors is available upon request.


9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED **“AS IS”** AND **“AS AVAILABLE”** WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE.


10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT IN ANY TWELVE (12) MONTH PERIOD SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
  • **The limitations and exclusions in this Section 10 do not apply to your indemnification obligations under Section 11.**

11. Indemnification

You agree to indemnify, defend, and hold harmless **Sarvajeyam Solutions Private Limited.**, its affiliates, officers, directors, and employees from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your violation of any law or third-party right; or (c) any claim that Customer Data infringes or misappropriates such third party’s rights. This indemnification obligation survives the termination of this Agreement.


12. Suspension and Termination

You may terminate this Agreement at any time with written notice. We may suspend or terminate your access immediately if: you materially violate these Terms or our Anti-Spam Policy; we are required to do so by law or a third-party provider; or your account is in arrears. Upon termination, your right to use the Services ceases immediately, and we may delete your Customer Data after a period of not less than thirty (30) days and not more than ninety (90) days from the date of termination, subject to legal and regulatory retention requirements. Customers are responsible for exporting their data prior to termination.


13. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in **Chennai, Tamil Nadu**.


14. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us. If any provision is found to be unenforceable, the remainder of the Terms will remain in full force and effect. Our failure to enforce any right or provision will not be considered a waiver of those rights.

  • **Survival:** Sections relating to indemnity, limitation of liability, warranties, data processing, and governing law shall survive termination.
  • **No Professional Advice:** The Services are for operational use and do not constitute professional, financial, legal, or regulatory advice.
